TRADE POLICY

1. Definitions

The definitions in this document reflect the needs and complexities of customers during the purchasing process of our products:

a) Eurosul – The company responsible for marketing the products.
b) Seller – The person responsible for presenting and selling the products.
c) Buyer – An individual or legal entity that purchases the products or supplies.
d) Product – Goods, inputs, and materials supplied by Eurosul, which may be either national or imported.
e) Contract – The document signed between the parties outlining the delivery of products, with agreed terms and values.
f) ICMS ST (Tax Substitution) – A regime where the tax responsibility is transferred to another taxpayer.
g) DIFAL – ICMS – The difference in ICMS tax rates between the state of origin and the state of destination of a product.

2. Quote

Negotiations between the seller and buyer will involve adjustments to the price and terms. A quote will be sent to the buyer, who can accept it via purchase order, email, or other digital platforms. By accepting the quote, the buyer agrees to all terms outlined in this document and the sales policies.

Prices may change before the purchase is finalized due to fluctuations in exchange rates or market conditions. It is the buyer’s responsibility to verify all product details, including part numbers and certificates, before completing the purchase.

3. Delivery

Delivery times are dependent on stock availability and may be subject to change. Eurosul is not responsible for variations in stock or logistical delays beyond its control, such as strikes or customs issues. The buyer must inspect the products upon delivery. Returns will only be accepted for defective products and must be reported within 3 days of receipt.

4. Cancellation and Refunds

For imported products or specific orders, cancellations will incur a 30% fee based on the quote value. Products manufactured on demand cannot be canceled without Eurosul’s consent. Returns will be evaluated by the Customer Service Department, and requests must be made within 7 days of receipt.

5. Prices, Fees and Taxes

Product prices do not include shipping costs and are subject to change based on exchange rates and state tax rates. Obligations such as ICMS-ST and DIFAL – ICMS will be the responsibility of the buyer.

6. Warranty

Eurosul guarantees the quality of its products in accordance with the manufacturer’s technical standards and certifications. The warranty period is 30 days for products in stock, in compliance with the Consumer Protection Code. Eurosul is not responsible for defects caused by improper storage or misuse after delivery.

7. Payments

Payments must be made according to the terms outlined in the quote. Late payments will incur a 5% monthly penalty and an interest charge of 2% per month. First-time buyers are required to make an advance payment.

8. Responsibility

Eurosul’s liability is limited to replacing or repairing the products, as determined by the technical team. Eurosul is not responsible for defects caused by improper use, inadequate storage, or any other circumstances beyond its control.

9. Recommendation

The buyer acknowledges that they are aware of the manufacturer’s information and recommendations regarding the use and application of the products, and exempts Eurosul from liability after delivery.

10. General Data Protection Law

Eurosul processes buyers’ data in compliance with the Brazilian General Data Protection Law (LGPD), ensuring confidentiality and security.
The data will be stored only for as long as necessary to provide the services and will be deleted in accordance with legal requirements.

11. Terms and Conditions of Sale

The terms and conditions of sale outlined in the quote govern Eurosul’s sales policy. Any additional conditions or adjustments required during the purchasing process will be agreed upon in the quote and will take precedence over other terms.

12. Jurisdiction

The Pinhais Jurisdiction is designated to solve any disputes arising out of or in connection with the present contract.
